By downloading, installing, or using any Verto Media mobile application ("App" or "Apps"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Apps.

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Apps after changes become effective constitutes acceptance of the modified Terms.

3. Description of Service

Verto Media provides mobile applications for various purposes as described in each App's description. We reserve the right to modify, suspend, or discontinue any aspect of the Apps at any time without notice.

4. User Accounts

4.1 Account Creation

Some features of our Apps may require you to create an account. You agree to:

8.2 Billing

• Subscriptions automatically renew unless canceled
• Payments are processed through third-party payment processors
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with notice

8.3 Cancellation

You may cancel your subscription at any time through your account settings or the app store. Cancellation takes effect at the end of the current billing period.

10. Disclaimers

THE APPS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation
• Security or virus-free operation

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERTO MEDIA SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or use
• Damages resulting from your use or inability to use the Apps
• Damages resulting from unauthorized access to your data
• Damages resulting from third-party content or conduct

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Verto Media and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of the Apps
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

13. Third-Party Services

Our Apps may integrate with or link to third-party services. We are not responsible for these services, and your use of them is subject to their own terms and policies.

14. Geographic Restrictions

We make no representation that the Apps are appropriate or available for use in all locations. Access to the Apps from territories where their content is illegal is prohibited.

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to conflict of law principles.

15.2 Arbitration

Any dispute arising from these Terms or the Apps shall be resolved through binding arbitration, except that either party may seek injunctive relief in court.

These Terms constitute the entire agreement between you and Verto Media regarding the Apps.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

16.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms at any time without notice.
